Our practice in this area is very extensive and we provide a wide range of legal services to the business and finance sectors.  We handle formation of companies, establishment of branches, including liaison and representative offices, negotiation and drafting of shareholders agreements, management and technical service agreements, share and asset acquisitions and disposals.  We also provide legal assistance in respect of company restructuring, establishment of various types of businesses and joint ventures, mergers and other forms of commercial collaboration.  We advise on duties and responsibilities of directors, commercial litigation and other forms of dispute resolution between companies, their shareholders and / or directors, management buy-outs and buy-ins.

 

 

The firm has on several occasions given advice on and been involved in negotiating transactions relating to sale, purchase and trading conditions, agency, distribution and licensing agreements, and has reviewed and prepared agreements relating to these transactions.

 

The Firm has expertise and can provide sophisticated advice in banking and finance.  We act for both banks and other lenders and borrowers involving amongst other things equity and venture capital and / or secured commercial lending transactions and the associated security documentation; project financing transactions, equipment leasing advice and documentation; debt collection, public issues and dispute resolution pertaining to banking and finance issues.
